This Refund and Cancellation Policy explains how NorthReeve Software LLC, a Massachusetts limited liability company ("NorthReeve", "we", "us", or "our") bills and refunds fees for the Glide By Blade platform (the "Platform"), and how you can cancel an auto-renewing subscription. This Policy is part of the Master Services Agreement ("MSA") between you and NorthReeve. If there is a conflict, the MSA controls. Capitalized terms not defined here have the meanings given in the MSA.
The monthly base fee, per-user seat fees, and add-on fees are billed in advance for each billing period. Except where a refund is required by law or expressly stated in this Policy, these fees are non-refundable, and we do not provide refunds or credits for partial billing periods, for seats you stop using during a period, or for periods in which you did not use the Platform. If you remove a seat or an add-on, the change takes effect at your next billing period and reduces future charges only.
We may, at our discretion or where required by law, prorate or refund fees in limited situations, for example if we made a billing error, if we charged you after a valid and timely cancellation took effect, or if we discontinue the Platform mid-term without cause. When we add a seat or add-on mid-period, we may prorate the charge for the remainder of that period. Any goodwill credit we choose to provide is a one-time accommodation and does not change this Policy.
The one-time onboarding and setup fee covers data migration (including migration from RealGreen), branding setup, phone-system setup, and implementation work. Because this work is performed at the start of service, the onboarding fee is earned as the work is performed and is non-refundable once we have begun it, except for any portion clearly attributable to work not yet started if you cancel before it begins. Where the onboarding fee is waived as part of an annual commitment and you cancel the annual term early, we may recover the waived onboarding amount as described in the MSA.
Metered usage, including text messages, phone minutes, emails, AI features, and similar pay-as-you-go items, is billed for what you actually use and is non-refundable once incurred, because these charges reflect real costs passed through from our providers. Any prepaid usage balance is applied to usage as you consume it and is non-refundable in cash. Third-party pass-through fees (for example, telephony carrier fees, messaging registration fees, or your QuickBooks Online subscription) are set and billed under those providers' own terms and are non-refundable by us.
Your subscription is an automatically renewing subscription. Unless you are on a fixed annual term with different renewal terms stated in your MSA, your subscription renews automatically at the end of each billing period (monthly or annually, as applicable) and we charge your payment method on file at the then-current rates, until you cancel. By subscribing, you provide your express affirmative consent to these automatic renewal terms and to the recurring charges, and you authorize us to charge your payment method on file for each renewal.
Cancelling. You can cancel at any time. You may cancel using the same medium you used to sign up or the method you normally use to deal with us, including by emailing sales@northreeve.com from the email address on your account, or through any in-account cancellation option we make available. If you accepted your subscription online, you may cancel online. We will acknowledge your cancellation. Cancellation stops future renewals; it takes effect at the end of your current paid term, and you keep access through that term. We do not require you to call, wait on hold, or complete steps more burdensome than the steps you used to subscribe.
Renewal reminders and price changes. Where required by law, we will send a reminder before an annual renewal and advance notice of any price increase, and we will obtain any consent the law requires before charging a changed price. If you do not agree to a price change, you may cancel before it takes effect.
If you believe a charge is incorrect, please contact us first at sales@northreeve.com so we can resolve it quickly. Initiating a chargeback or payment dispute for a valid charge, instead of contacting us, may result in suspension of your account until the matter is resolved. We reserve the right to contest chargebacks we believe are invalid, including by providing records of your acceptance of the MSA, your usage, and this Policy. Amounts owed that are reversed by a chargeback remain payable, and we may recover them and any related fees as described in the MSA.
To request a refund permitted under this Policy, or to cancel, email sales@northreeve.com from the email address associated with your account and include your company name and the reason for your request. We will respond within a reasonable time. Approved refunds are issued to the original payment method.
We may update this Policy from time to time. When we do, we will change the "Last updated" date above. Changes apply to billing periods that begin after the change takes effect.
